Terms of Service

Welcome to SendItCNC. We provide CNC machines in the cloud for you to make parts on demand. Using our design libraries for CNC, you add CAM operations to your design, then send your job to our cloud CNC machines to be made.

These Terms of Service govern your use of the senditcnc.com website, SendItCNC mobile application, and the other products, features, apps, services, technologies, and software we offer (collectively our "Services"). The Services are the property of SendItCNC, Inc. ("SendItCNC", "we", "us" or "our") and its licensors.

By accepting these Terms of Service during your user id registration, or by accessing or using any of the Services, you acknowledge that you have read, understood, and agree to these Terms of Service. When you provide a company name at the time of user id registration you represent that you are acting on behalf of that company. You agree to these Terms of Service on behalf of the company or other legal entity for which you are acting or, if there is no company or legal entity, on behalf of yourself as an individual (in either case, “user”, “you”, “your”). You represent and warrant that you have the right and authority (as well as the capacity, including that you are of sufficient legal age) to act on behalf of and bind such entity (if any) and yourself. If you do not have such authority, or if you do not agree with these Terms of Service, you must not accept these Terms of Service and may not access and use the Services.

Accounts, Passwords and Security

Some features of the Services may require you to open an account by registering an online user id and password on the Services and providing certain information.

You agree that:

  • You are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it.
  • You will provide accurate information when creating the account.
  • You won't share your SendItCNC user id, password or account with anyone else.
  • You will immediately notify us of any unauthorized uses of your account or any other breaches of security.
  • You won't use anyone else’s SendItCNC user id, password or account.

You may not create an account if you are under 18 years of age, we've previously disabled your account for violations of our Terms or Policies, or you are prohibited from using the Services under applicable laws.

User Content

Some of the Services are designed to let you upload, submit, store, send, receive, or share your content. Your content may include text, images, CAD designs, CAM programs and other digital information.

Your content remains yours, which means that you retain any of your intellectual property rights in your content. For example, you may have intellectual property rights in original designs you create.

You agree that you will only submit or upload content for which you own or have obtained the necessary rights to do so.

You agree that your content and its use with any Services won't violate any applicable laws or regulations, or these Terms of Service.

You grant us all necessary rights and licenses (including without loss of generality the right to copy, modify, transmit, store and process) to your content solely for the purposes of fulfilling our obligations to you including providing you the Services and providing technical support for the Services, and in the course of correcting defects in, enhancing and extending the Services or developing new Services, and as otherwise provided for in these Terms of Service. We may monitor and review your content submitted or uploaded to the Services to ensure that it is consistent with these Terms of Service.

You agree that you are solely responsibility for all aspects of your content, including without loss of generality, the accuracy, quality, integrity, legality, reliability, and appropriateness.

You acknowledge that online services may suffer occasional disruptions or outages, and you may not be able to retrieve your content as a result. We recommend that you regularly backup your content to your own storage. You are always responsible for storing and maintaining any such backup copies of your content.

We treat your content as confidential information and use the same degree of care we use to protect our own confidential information of like kind, and limit access to those who need such access to provide the Services to you.

Your Feedback, Comments, and Input

You have no obligation to communicate to us with feedback, comments, or input regarding the Services. However, if you do communicate to us about any of the Services then you agree that we may use what you tell us without any obligation to you, and in any manner we determine is appropriate, for example, to modify, correct, enhance, or extend the Services.

Orders

You can ask us to cancel an order at any time by contacting us. Unless we’ve already started making the item, we’ll cancel the order and you won’t be charged. To ask about a problem or request a refund please email us at sales@senditcnc.com.

If a part we make for you does not meet your reasonable expectations based on our published information you can ask us to make it right or return the part for a refund. When you order items from us, title for the items passes to you when we ship the item.

Additional terms and conditions may apply to purchases of goods or services and to specific features of the Services, like contests and promotions, all of which are made a part of these Terms of Service by this reference. You agree to abide by such other terms and conditions. If there is a conflict between these Terms of Service and the terms applicable to a specific purchase or feature of the Services, the latter terms will prevail with respect to your purchase or use of that feature.

You agree to pay all charges to your account for orders and subscriptions in accordance with the fees, charges, and billing terms published by the Services and in effect at the time the charge is made. If auto-renewal is enabled for Services you have subscribed for, you will be charged automatically in accordance with the term you selected.

We reserve the right to limit quantities or cancel orders.

Accuracy of Information

Occasionally there may be information on the Services that contains typographical errors, inaccuracies or omissions that may relate to our content, availability, promotions and offers. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the Services is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information on the Services including, without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Services should be taken to indicate that all information on the Services has been modified or updated.

Links to Other Resources

The Services may link to other independent third-party resources (such as websites, and mobile applications).  These links are provided solely as a convenience to users of the Services. Such linked resources are not under our control, and we are not responsible for and do not endorse or approve their content, actions, products or services, or warrant their offerings. You should carefully review the legal statements and other terms of use of any linked resource.

Your Use of the Services

You agree that you won't use the Services or our content in violation of any applicable laws or regulations, for any unlawful purpose, or to solicit others to perform or participate in any unlawful acts.

Additionally, you agree that:

  • Without our written permission, you won't submit or upload to the Services any designs for items where the manufacture or transportation of the item, or the transmission of its design, is subject to governmental regulation. The items you order from us won't be subject to FAA inspection. The items you order from us won't be implanted in a human body. The items you order from us won't result in goods that are in violation of any federal or applicable state firearms laws. For avoidance of doubt, we are not licensed to manufacture firearms by any Federal or State government. You won't submit, upload or otherwise transmit to us any content or materials (including your content) that constitute classified information or that are subject to the International Traffic in Arms Regulations (“ITAR”) or its foreign counterparts. You won't use the Services to make your content or any other content or materials available to any country, entity or other party that cannot legally receive them under U.S. and other applicable law.
  • The items you order from us won't be used in any inherently dangerous application, including any application that could result in death, personal injury, catastrophic damage or mass destruction.
  • You won't use the Services or our content in a manner which infringes upon or violates our intellectual property rights or the intellectual property rights of others.
  • You won't use the Services or our content to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

    • In order to protect the integrity of the Services you agree that:

    • You won't submit false or misleading information to the Services.
    • You won't upload or transmit to the Services any viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services, third party products and services, or the Internet. You won't interfere with or circumvent the security features of the Services, third party products and services, or the Internet.
    • You won't obtain or attempt to obtain any materials, documents or information in our custody through any means not purposely made available through the Services, or attempt to gain unauthorized access to any portion or feature of the Services, or any other systems or networks connected to the Services or to any SendItCNC server.
    • You won't take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Services or our systems or networks, or any systems or networks connected to the Services.

    We continually develop new features and technologies for the Services. We may add or remove features, increase or decrease limits to the Services, and start offering new features or stop offering old ones. We may make changes to any part of the Services, or to the applicable prices for the Services, at any time, without notice.

    Our Content

    Some of the Services contain or provide content that belongs to us, for example, downloadable CAD designs and instructional videos. We grant you the right to use our content for the purposes of using the Services to order parts to be made on our CNC machines in the cloud. We retain any intellectual property rights that we have in our content. You agree not to remove, obscure, or alter any of our branding, logos, proprietary rights notices or legal notices. All rights not expressly granted are reserved by SendItCNC and its licensors.

    These Terms of Service do not transfer to you any intellectual property owned by SendItCNC or third parties. All trademarks, service marks, graphics and logos used in connection with the Services, are trademarks or registered trademarks of SendItCNC or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Services may be the trademarks of other third parties. Your use of the Services grants you no right or license to reproduce or otherwise use any of the SendItCNC or third-party trademarks.

    Disclaimers

    You agree that to the fullest extent permitted by applicable law, the offerings are provided "as is", and "as available" and that your use of the Services is solely at your own risk.  You agree that to the fullest extent permitted by applicable law SendItCNC and its suppliers make, no warranties, representations, or commitments of any kind, express or implied, with respect to any of the Services, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement or other warranties or conditions implied by statute, or any warranties based on trade or industry standards. We make no warranty that the Services will meet your requirements, or that the Services will be uninterrupted, timely, secure, free of data loss, or error-free; nor do we make any warranty as to the results that may be obtained from the use of the Services or as to the accuracy or reliability of any information obtained through the Services or that defects in the Services will be corrected. You understand and agree that any material and/or data downloaded or otherwise obtained using the Services is done at your own discretion and risk and that you will be solely responsible for any damage or loss of data that results from the download of such material and/or data. We make no warranty regarding any goods or services purchased or obtained through the Services or any transactions entered into through the Services unless stated otherwise. No advice or information, whether oral or written, obtained by you from us or through the Services will create any warranty not expressly made herein. You assume total responsibility for your use of the Services. Your sole remedy against us for dissatisfaction with the site or any content is to stop using the site or any such content. This limitation of relief is a part of the bargain between the parties.

    Liability

    To the fullest extent permitted by applicable law, in no event will SendItCNC, its directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of SendItCNC, its directors, officers, employees, agents, suppliers and licensors relating to the Services will be limited to the greater of fifty dollars or any amounts actually paid by you to SendItCNC during the 12-month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose. You agree to indemnify and hold SendItCNC, its directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys' fees, incurred in connection with or arising from any third-party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your breach or non-performance of any of your obligations under this agreement, your content, your use of the Services or any willful misconduct on your part.

    Action If Problems Arise

    If we reasonably believe that your use of the Services or your content violates these Terms of Service, or violates applicable law, or could cause harm to us or others, then we reserve the right to remove portions of your content or disable or terminate your account. Examples include content that infringes someone else’s intellectual property rights, or violations of laws or regulations such as those dealing with controlled items such as weapons or medical devices.

    Severability, Waivers, Amendments

    All rights and restrictions contained in these Terms of Service may be exercised and will be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they won't render these Terms of Service illegal, invalid or unenforceable. If any portion of any provision of these Terms of Service will be held to be unenforceable the remaining provisions will remain in full force and effect. If we fail to enforce any of these Terms, it won't be considered a waiver. Any amendment to or waiver of these Terms must be made in writing and signed by us.

    Dispute Resolution

    Nevada law will govern all disputes arising out of or relating to these Terms of Service or the Services, regardless of conflict of laws rules and the parties consent to the jurisdiction of the federal or state courts of Clark County, Nevada, USA.

    In the event of any dispute between us and you arising in connection with your use of the Services, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed sixty (60) days), the parties agree to endeavor first to settle the dispute by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration. The parties further agree that any unresolved controversy or claim arising out of or relating to this contract, or breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of arbitration shall be Clark County, Nevada The arbitrators may determine how the costs and expenses of the arbitration shall be allocated between the parties, but they shall not award attorneys' fees.

    The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms of Service.

    Assignment

    You may not assign, resell, sub-license or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent will be at our sole and arbitrary discretion and without obligation, and absent of our consent any such assignment or transfer will be null and void. We are free to assign any of our rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of its assets or stock or as part of a merger.

    Changes and Amendments

    We reserve the right to modify these Terms of Service at any time, effective upon posting of an updated version of these Terms of Service on the Services. When we do, we will revise the updated date at the bottom of this page. Continued use of the Services after any such changes will constitute your consent to such changes.
